The role of an Experienced Fund Paralegal in a Luxembourg-based Alternative Investment Fund Manager (AIFM) team is crucial for providing legal and administrative support to various stakeholders in the funds industry. Here is an overview of the responsibilities and qualifications for this position:



Responsibilities:

•Organizing Annual General Meetings (AGM): You will be responsible for planning and managing AGMs for the fund's shareholders. This includes scheduling, coordinating attendees, and ensuring all necessary documentation is prepared.
•Corporate Filings: Handling filing obligations with the Luxembourg Trade and Companies Register (RESA) and managing other corporate formalities following AGMs, such as updating corporate records.
•Document Management: Managing the storage and organization of corporate documentation for domiciled funds and bank contractual documentation related to monitored funds. This may involve both physical and electronic record-keeping.
•Auditor Support: Preparing and providing auditors with the necessary corporate documentation for domiciled funds to facilitate their audits.
•Mail and Communications: Managing incoming and outgoing mail, as well as coordinating courier services as needed.
•Electronic Filing: Electronically filing various documents with the RCS (Register of Commerce and Companies), including annual reports and changes to the composition of the Board of Directors.
•Office Management: Handling office-related tasks such as ordering furniture and office supplies online.
•Archiving: Preparing files for archiving and coordinating with internal archives services for document storage.
•File Follow-Up: Assisting with file follow-up tasks, particularly non-complex tasks, under the supervision of a team member.

Qualifications (Must-Have):

•Experience: Substantial experience in the Luxembourg Real Estate/Private Equity Funds sector, with a focus on domiciliary activities and corporate secretarial services.
•Legal Knowledge: Understanding of Luxembourg Investment Fund regulations and Luxembourg Commercial Companies Law as they pertain to Investment Funds.
•Fund Operations: Basic knowledge of alternative fund operational services to support fund activities.
•MS Office Skills: Proficiency in MS Office applications, particularly MS Word and MS Excel for document preparation and data analysis.
•Client-Centric Attitude: A customer-focused approach to interacting with clients and external stakeholders.
•Language Proficiency: Excellent command of the English language, as effective communication is crucial in this role.
•Workload Management: Ability to handle a substantial workload with a high level of accuracy and productivity.
